This Partner Agreement (“Agreement”) governs the relationship between Welo Badge, LLC, a company under U.S. law with headquarters in the State of Delaware (“Welo Badge” or “Welo”), and the natural or legal person that adheres to the Welo Badge Partner Program (“Partner”).
By subscribing to the Partner Program, using their personal link, promoting Welo Badge services or requesting commissions, the Partner declares to have read, understood and fully accepted this Agreement.
1. Purpose and purpose of the Partner Program
Welo Badge offers a certification service and verifying the reliability of online companies, with the creation of a security badge and a public page (Trust Center) dedicated to the certified company.
The Partner Program is intended to allow the Partner to:
- report companies potentially interested in Welo Badge services;
- facilitate their application and subscription to a paid plan;
- receive an economic commission on qualified sales attributed to its activities.
This Agreement fully defines rights, obligations, limits, promotion methods, award criteria, commission structures, and payment terms.
2. Nature of the relationship
The relationship between Welo Badge and the Partner is non-exclusive commercial collaboration.
The Partner always acts as a subject independent and not as an employee, agent, legal representative, agent or member of Welo Badge. Nothing in this Agreement may be construed as creating an employment relationship, agency, joint venture, or corporate partnership.
The Partner does not have the power to sign nor is he authorized to:
- assume contractual obligations in the name and on behalf of Welo Badge;
- issue binding statements for Welo Badge;
- introduce yourself as a 'Welo Badge office', 'Welo Badge employee' or similar.
3. Program membership
To join the Partner Program, the subject must:
- be at least 18 years old (if a natural person) or be regularly constituted (if a legal entity);
- provide real, complete and updated data;
- have the legal capacity to enter into contracts;
- not be involved in illegal, fraudulent activities or in violation of applicable regulations;
- accept this Agreement without modification.
Welo Badge may request supplementary documents at any time (for example: tax data for payments, company name, links to the sites or channels used for the promotion) and may refuse or revoke membership at its sole discretion, even without the obligation to provide detailed reasons, in particular in the case of:
- suspected fraudulent activity;
- promotional content or practices that do not comply with the brand or laws;
- lack of cooperation or lack of requested information.
4. Sales attribution and “Do you have a recommendation?” field
For a sale to be attributed to the Partner and generate commissions, the company concerned must:
- fill out the official Welo Badge application or apply form;
- Enter the name of the Partner (first and last name or name of the business) in the field dedicated to the recommendation, currently indicated as “Do you have a recommendation?” or “Do you have a recommendation?”.
In the absence of this indication, the sale it is not automatically considered as a Partner's referral, even if the customer has been informally informed or “influenced” by the Partner.
Welo Badge may, at its discretion, manually attribute a sale to the Partner if there is clear, documented and verifiable evidence of its brokerage. However, this manual attribution remains an option and not an obligation.
It is up to the Partner to instruct companies to:
- enter your name correctly in the 'recommendation' field;
- use any links or codes communicated to the Partner.
5. Accepted companies and eligibility limits
Welo Badge is primarily aimed at online companies (e.g. e-commerce, SaaS, digital services, marketplaces, D2C brands, agencies and businesses with a structured web presence) that operate legally and that want to improve transparency, trust and reputation.
Welo Badge reserves the right to refuse, suspend, or revoke certification, or not to activate services, against companies that:
- carry out activities that are illegal or in violation of local or international regulations;
- are involved in fraud, scams, pyramid schemes or similar;
- operate in highly risky sectors (for example: weapons, illegal trafficking, blatantly deceptive activities, violations of privacy, hate or violent content);
- are not willing to provide the minimum documentation necessary for the reliability analysis;
- refuse to comply with Welo Badge's indications relating to legal and informational transparency.
The Partner understands that:
- the acceptance of a company as a Welo Badge customer is always subject to internal assessment;
- if a company referred by him is rejected or fails the verification, no commission is due;
- Welo Badge is not required to justify the refusal in detail, when there are reasons of compliance, security or confidentiality.
6. Qualified sales and commission accrual
A sale is considered 'qualified' (and therefore generates commissions) only when:
- the company has been accepted as a customer by Welo Badge;
- the company subscribes to a paid plan Welo Badge (monthly or annual);
- the payment is actually collected by Welo Badge;
- there is no refund, chargeback or dispute involving the return of the amount;
- the sale is attributed to the Partner according to the field rule “Do you have a recommendation?” or through another award recognized in writing by Welo Badge.
In the event of a full refund or cancellation of payment by the customer, any commission accrued is reversed or offset with subsequent payments.
7. Commissions, duration of remuneration and minimum payout
The Welo Badge Partner Program includes:
- a commission equal to 20% of the revenue generated by the referred customer, calculated on the subscribed Welo Badge plans;
- a duration of 12 months of commission accrual starting from the date of the customer's first actual payment.
The commissions are calculated on a monthly basis and made available to the Partner after the end of the reference period, once the payments and any refunds have been verified.
The minimum payout for the disbursement of commissions it is equal to 100 USD (one hundred dollars).
Lower amounts are accumulated and liquidated only when the threshold is exceeded.
Payments can be made through:
- Stripe (payout on linked account)
- PayPal
- Bank transfer
The Partner is responsible for providing correct credit data and for complying with their tax obligations in the country of residence.
8. Allowed promotion methods
The Partner may promote Welo Badge using, for example:
- your website or blog;
- newsletters and email marketing to its customer base (in accordance with the privacy consent);
- social channels (e.g. Instagram, LinkedIn, TikTok, Facebook, X, YouTube);
- video content, podcasts, webinars, live or online events;
- business presentations, consulting calls, reports or audits where Welo Badge is suggested as a solution.
In all cases, the promotion must:
- be consistent with the positioning of Welo Badge (trust, transparency, security, seriousness);
- use correct, updated and non-misleading information;
- do not promise guaranteed results or certifications;
- Don't create the impression that Welo Badge automatically approves any company.
9. Sponsorships, co-marketing and use of the Welo Badge image
The Partner may present himself publicly as:
“Welo Badge Partners”
“Welo Badge Partner”
“Official Welo Badge Partner”
only if your account is active and in good standing.
However:
- you cannot present events, content or campaigns as “sponsored by Welo Badge” if there is no written confirmation from Welo Badge;
- cannot promise sponsorships, special discounts, prizes or visibility to companies in the name of Welo Badge, if not included in official communications;
- you cannot use the Welo Badge logo on physical materials (roll-up, stands, printed banners) or out of home campaigns without written permission.
At its discretion, Welo Badge may propose co-marketing initiatives, interviews, case studies or public mentions of the most active Partners. These activities are optional, not guaranteed and do not constitute an acquired right of the Partner.
10. Restrictions on advertising activities and paid ads
The Partner cannot:
- buy ads on search engines or ad platforms using 'Welo Badge', 'WeLoBadge', 'Welo' or variants as the main keyword or brand keyword;
- create ads that appear as if they were managed directly by Welo Badge (“Official Welo Badge Announcement”, “Welo Badge Official Ad”) without written permission;
- use landing pages that graphically imitate the official Welo Badge site to the point of generating confusion;
- use unverified or outdated data, claims, or metrics.
Campaigns where:
- Welo Badge is presented as one of the solutions recommended by the Partner;
- it is clear that the announcement is published by the Partner and not by the Welo Badge;
- the advertising policies of the platforms (Google, Meta, TikTok, etc.) and the regulations of the destination country are respected.
11. Prohibited conduct and incorrect practices
By way of example, the following are expressly prohibited:
- email spam, unsolicited private messages, aggressive automation;
- the purchase of fake traffic, bots, artificial clicks or leads generated through deceptive practices;
- promises such as 'guaranteed certification', 'Welo Badge approves anyone', 'zero risks', 'guaranteed increase in sales';
- the use of Welo Badge as a lever for unethical activities (e.g. undue pressure against a company);
- the manipulation of customers into entering untrue information in the “Do you have a recommendation?” field ;
- the creation of content that damages the image or reputation of Welo Badge, its customers or third parties in a defamatory or incorrect way.
In the event of a violation, Welo Badge may immediately suspend the Partner, block payments, revoke the right to use the trademark and possibly take legal action.
12. Marketing materials and intellectual property
All materials, logos, texts, graphics, videos, layouts, scripts, documents and resources provided by Welo Badge remain your exclusive property.
The Partner can only use them for:
- promote Welo Badge in the context of the Partner Program;
- explain to your customers what Welo Badge offers;
- integrate Welo Badge into your consultancy or service offering.
It is not allowed to:
- change the Welo Badge logo substantially;
- remove copyright notices;
- resell, sublicense or make available Welo Badge materials as if they were your own products.
13. Confidentiality and data
The Partner undertakes to treat as confidential:
- non-public information related to roadmaps, future features, strategies, or internal numbers;
- any customized economic conditions;
- information received directly from the Welo Badge team.
With regard to personal data, the Partner undertakes to comply with applicable regulations (e.g. GDPR in Europe), ensuring that any emails or contacts to which Welo Badge promotes have provided valid consent, where required.
14. Limitation of liability
Welo Badge does not guarantee:
- a minimum number of sales generated by the Partner;
- the acceptance of all referenced companies;
- conversion results, revenue growth, or other business outcomes.
Welo Badge is not responsible to the Partner for indirect losses, lost earnings, loss of opportunities, temporary site downtime, technical problems with payment platforms or tracking, except in cases where this results from intent or gross negligence.
In any case, the total liability of Welo Badge to the Partner, for whatever reason, cannot exceed the total amount of commissions actually paid to the Partner in the six months preceding the event that generated the liability request.
15. Duration, suspension and withdrawal
The Agreement lasts indefinitely and starts from the moment the Partner is accepted into the Program.
Welo Badge can:
- temporarily suspend the Partner in case of suspected violations, pending verification;
- terminate this Agreement with immediate effect in the event of serious violations (e.g. fraud, image damage);
- modify or close the Partner Program with reasonable prior notice.
The Partner can cancel at any time, asking for the closure of their partner account. Any commissions accrued and confirmed up to the date of withdrawal will be paid according to the minimum threshold rules.
16. Amendment to the Agreement
Welo Badge may update or modify this Agreement to:
- legal or regulatory adjustments;
- changes to the Partner Program;
- organizational or technical reasons.
The updated version will be published on official channels (e.g. Partner Terms page). Continuing to use the Program after the changes are posted constitutes acceptance of the new terms.
17. Applicable law and place of jurisdiction
This Agreement is governed by the law of State of Delaware (USA).
Any dispute between Welo Badge and the Partner relating to the interpretation, validity, or execution of this Agreement will be brought before the courts of Delaware, without prejudice to any mandatory obligations of consumer or professional protection laws in the Partner's country, where applicable.
18. Acceptance
By proceeding with the enrollment in the Program, using the partner link or requesting the payment of commissions, the Partner confirms that:
- have read this Agreement in its entirety;
- understand its contents, in particular:
- the independent role of the Partner;
- the field requirement 'Do you have a recommendation? ' ;
- the minimum payout of 100 USD;
- the limits on promotion, sponsorships and brand use;
- fully accept the terms and conditions indicated here.
